Kathryn leads Rix & Kay’s Corporate and Commercial team

Kathryn is a specialist in corporate law with particular expertise in the sale and purchase of businesses and companies, as well as the establishment of partnerships and other joint ventures.

Having trained and worked for many years for two major City Law firms (CMS Cameron McKenna and RPC LLP), Kathryn has a wealth of experience of working on high-value and complex corporate transactions.  Today, her clients benefit from City-level expertise and advice without the cost one might expect from a London law firm.

Kathryn’s clients

Kathryn works closely with businesses of all sizes from sole traders and partnerships to SMEs and national organisations.  Her experience allows her to advise fledgling and fast-growth companies to realise the next stage of their strategic growth plans and to support more sophisticated businesses to achieve their commercial objectives.

Kathryn is also a member of the Board at Eurojuris, the leading network of independent law firms in Europe. With members based in 650 different cities/locations in about 50 countries, not only in Europe but worldwide, Kathryn is able to draw on this trusted network when clients require specialist cross-border advice.

Kathryn is on the executive board of the Uckfield Chamber of Commerce.

Kathryn is also a fluent German speaker.

Kathryn’s work

Advising the shareholders of Construct on a majority share sale to Melbourne-based Online Education Services (OES)
Kathryn led the transaction on behalf of the principal shareholders of Construct. Construct is a global leader in online learning design with locations in London, US and South Africa. Construct and OES share a vision of an academic-led, learner-centric approach to online learning. The value this transaction brings to both organisations is significant.

Sale of Parkers Building Supplies – a £67 million turnover independent builders’ merchant
Kathryn worked as part of Rix & Kay’s Corporate and Commercial team that advised the owners of Parker Building Supplies, an independent builders’ merchant based in the South East of England, on its sale to Edinburgh-based Cairngorm Capital Partners. Headquartered in Polegate, East Sussex, the company generated revenues of £67m in 2017 from 15 locations across Sussex and Kent.

Advising historic builders’ merchants creating £120M group
Kathryn worked as part of Rix & Kay’s Corporate and Commercial team advising on the sale of Fairalls (Builders’ Merchants) to Cairngorm Capital Partners. The newly-enlarged group created the largest independent builders’ merchant group in the South East with more than 500 employees, combined revenues of £120 million and 24 branches serving Surrey, Sussex and Kent.

Advising Apiject – the worlds first single-use, prefilled syringe
Kathryn recently advised ApiJect founder, Marc Koska OBE, on bringing together revolutionary intellectual property to deliver commercially viable solutions for the administration of vaccines and medicines to the developing world without the transmission of disease or infection. This truly revolutionary product has the potential to change millions of lives around the world.
